Welcome to GenlogixHQ. These Terms of Service ("Terms") constitute a legally binding agreement between GENLOGIX PRIVATE LIMITED ("GenlogixHQ", "we", "us", or "our"), incorporated at NO.22, ANANDA NILAYA, 3RD FLOOR, 7TH MAIN, 8TH CROSS, MALLESHWARAM, Bangalore, Karnataka 560003, and the contracting business entity ("Customer", "you", or "your") accessing our services. By activating an account, connecting database credentials, uploading spreadsheets, or configuring notifications, you agree to these Terms. If you are entering into this agreement on behalf of a company, you warrant that you have the authority to bind that entity.
1. SaaS Solutions & Platform Scope
GenlogixHQ provides a B2B decision intelligence SaaS platform that parses database metadata, processes natural language business queries, and automates tracking notifications via Slack, WhatsApp, and email gateways. The specific features, frequency of database crawls, number of active agent workers, and reporting channels available to you are determined by your active subscription plan.
2. Subscription Billing, Fees, and Renewal
We charge recurring fees for access to our B2B SaaS platform based on our established service tiers:
- Service Tiers:
- Essentials Plan: Billed at ₹4,999 per month (or ₹3,999/mo billed annually).
- Professional Plan: Billed at ₹14,999 per month (or ₹11,999/mo billed annually). Includes dedicated SLAs and high-frequency sync tunnels.
- Enterprise Dedicated: Customized structures starting from ₹49,999 per month, featuring private VPC installations, custom AI connectors, and dedicated account engineers.
- Automatic Renewal: Subscription cycles recur monthly or annually from the initial activation date. Subscriptions auto-renew unless canceled through your account dashboard at least three (3) business days prior to the billing cycle transition.
- Taxes: All prices listed on our platform are exclusive of statutory taxes (such as GST at 18% for Indian domestic clients), which will be appended to the final invoice where applicable.
- Non-Refundable Fees: Except as explicitly outlined herein or mandated by local tax laws, all payments processed for active subscription cycles are strictly non-refundable and non-creditable.
3. Client Safe-Connection Warranty & Read-Only Indemnity
Due to the integration capabilities of GenlogixHQ with your remote IT assets, database systems, and ERP folders, you agree to the following safety protocols:
- Read-Only Configuration Warranty: You represent, warrant, and covenant that all API keys, OAuth tokens, SSH tunnels, SQL database accounts, and file directory shares connected to GenlogixHQ are configured with strictly read-only permissions.
- Write-Access Prohibition: You must never supply database user credentials or connection profiles that contain administrative, write, update, insert, or delete permissions.
- Indemnification & Exemption: GenlogixHQ maintains no systems to modify or delete client data. If you provide credentials with write access, you assume all liability for unauthorized database changes, records deletions, index corruption, or security exposure. You agree to defend, indemnify, and hold harmless GENLOGIX PRIVATE LIMITED from and against any third-party claims, losses, damages, or liabilities arising directly from your failure to restrict connection keys to read-only access.
4. Service Level Agreement (SLA) & Uptime Commitments
Our service levels and sync schedules are defined to ensure operational continuity:
- System Uptime Target: We target a 99.9% uptime rate for our core query translation engine and agent consoles, excluding scheduled maintenance windows (announced 48 hours in advance).
- Data Synchronization Frequency: Database crawl frequencies are determined by your active plan:
- Essentials: Automated sync checks run every 24 hours.
- Professional: High-frequency checks run every 6 hours, with real-time on-demand query capabilities.
- Enterprise: Near-real-time synchronization streams.
- Support Ticket Channels: Customers can submit helpdesk inquiries. We target the following initial response times:
- Essentials: Response within 48 business hours.
- Professional: Response within 12 business hours.
- Enterprise: Response within 4 business hours with 24/7 critical system coverage.
5. AI Advisory Disclaimer & Limitation of Liability
GenlogixHQ employs advanced heuristic algorithms and large language model translators to compile notifications, suggest restock inventory levels, and forecast sales trends:
- Advisory Nature of Insights: All automated reports, chat answers, safety stock buffer alerts, and supplier purchase order drafts generated by our system are advisory suggestions. They do not constitute certified accounting, financial, or operational advice.
- Validation Obligation: You are solely responsible for reviewing and confirming the mathematical correctness of any draft purchase orders, inventory counts, or financial forecasts prior to executing purchases, transferring funds, or dispatching restock files to your suppliers.
- Limitation of Liability: To the maximum extent permitted by law, GENLOGIX PRIVATE LIMITED will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenues, business disruptions, or database corruptions. In no event will our total aggregate liability exceed the total fee amounts paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
6. Intellectual Property Rights
The relationship between client data assets and our platform tools is defined as follows:
- Client Data Assets: You retain all ownership, intellectual property rights, and title to your raw database schemas, transactional records, and files. You grant us a limited license to read, parse, and summarize your data solely to execute your queries and alerts.
- GenlogixHQ IP: We retain all right, title, and interest in and to our proprietary source code, query parsing models, background agent logic, styling layouts, and software architectures. No ownership is transferred under these Terms.
7. Governing Law & Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them, will be governed by and construed in accordance with the laws of Karnataka, India, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms must be instituted exclusively in the competent courts located in Bangalore, India.
